Terms of Use

These Terms of Use ("Terms") are an agreement between you and Quantino Health AI Inc. ("Quantino Health," "we," "us," "our"), a company with its principal place of business at 510 Corday Street, Pensacola, FL 32503, United States.

They govern your use of quantinohealth.com (the "Site") and your participation in our text messaging program. By using the Site or by receiving our text messages, you agree to these Terms. If you do not agree, do not use the Site.

Services we deliver to a healthcare organization under a signed agreement are governed by that agreement, not by these Terms. Where the two conflict, the signed agreement controls.

1. Text message program

This section is the complete terms of our patient text messaging program. It applies whether you reached it from a message, from our Privacy Policy, or from the footer of this Site.

What the program is. Quantino Health sends text messages on behalf of the healthcare practices it serves, currently Retina Specialty Institute and Southern Eye Group. Every message is one you asked for during a phone call with the practice. There are four kinds, and no others:

• a secure link to your billing statement or summary;
• a secure link to make a payment;
• a confirmation that a payment was received;
• a secure link to complete your registration before a first appointment.

We do not send marketing or promotional text messages, and we do not send unsolicited notifications or reminders.

How consent works. Consent is verbal, and there is no standing subscription to join. You call the practice, and during that call you are asked out loud whether you would like the document or link sent to you by text. The agent confirms out loud which mobile number to use before anything is sent, and one message is sent for that request. Typical wording is "Should I text it to the number you're calling from, or the one we have on file?" and, before a payment link, "I'll text a secure payment link for — is that okay?". Nothing is sent unless you say yes.

Consent to receive text messages is never a condition of receiving care, and never a condition of any purchase. Declining a text changes nothing about your care; the practice will use another channel instead.

Message frequency. You receive a message only when you request one during a call, so frequency is entirely up to you — usually one message per request, and none at all if you never ask.

Cost. We do not charge you for these messages. Message and data rates may apply — your mobile carrier's standard messaging and data charges apply according to your plan.

Links in messages. Billing, payment, and registration messages contain a secure link. Those links are single-purpose and time-limited, and the message itself carries no health information beyond the practice's name.

How to stop. Reply STOP to any message from us to end messages to that number. You will receive one confirmation that you have been unsubscribed, and then no further messages, including messages you later ask for on a call. STOP, CANCEL, QUIT, END, UNSUBSCRIBE, OPTOUT, and REVOKE all work, and you may reply START to allow texts again. Opting out does not affect your care — the practice can still reach you by phone or mail.

Carriers. Supported carriers include AT&T, Verizon Wireless, T-Mobile, Sprint, U.S. Cellular, Boost Mobile, MetroPCS, Cricket, and most other US carriers. Carriers are not liable for delayed or undelivered messages. Message delivery depends on your carrier's network and on your device, neither of which we control.

Privacy. How we handle your mobile number and your consent record is described in our Privacy Policy. In short: no mobile information will be shared with third parties or affiliates for marketing or promotional purposes, and text messaging originator opt-in data and consent are excluded from all information sharing with third parties.

Eligibility. The program is for patients aged 18 or over, or for the parent or guardian of a patient. Only provide a mobile number that belongs to you or that you are authorized to provide.

2. No medical advice, and not for emergencies

The Site is informational. Nothing on it is medical advice, diagnosis, or treatment, and nothing on it creates a physician-patient relationship with Quantino Health. Our text messages carry billing and registration logistics — they are not clinical guidance.

If you have a medical emergency, call 911 or go to the nearest emergency department. Do not use a text message or this Site to report a medical emergency or an urgent clinical concern. We do not monitor incoming text messages for clinical content and cannot respond to one.

3. Use of the Site

You may view and use the Site for your own personal or internal business purposes. You agree not to:

• use the Site in violation of any law, or for any unlawful or unauthorized purpose;
• attempt to gain unauthorized access to the Site, our systems, or any account, or interfere with, disrupt, or place undue load on them;
• probe, scan, or test the vulnerability of the Site except under a written authorization from us;
• scrape, harvest, or systematically collect content from the Site to build a database, dataset, or competing product, or to train a machine learning model;
• impersonate any person, or misrepresent your affiliation with any person or organization;
• remove or obscure any copyright, trademark, or other proprietary notice.

We may investigate and take appropriate action, including restricting access, where we believe these Terms have been breached.

4. Intellectual property

The Site and its contents — text, design, graphics, logos, software, and the selection and arrangement of them — are owned by Quantino Health or its licensors and are protected by intellectual property law. The Quantino Health name and logo are our trademarks. Practice names and third-party marks appearing on the Site belong to their respective owners and are used to identify them.

We grant you no license other than the limited permission to view the Site described in section 3.

5. Third-party links and services

The Site may link to websites and services we do not operate. We do not control them and are not responsible for their content, their security, or their privacy practices. Following such a link is at your own risk, and the terms and privacy policy of that destination will govern your use of it.

6. Disclaimer

The Site is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Site will be uninterrupted, error-free, secure, or accurate.

We may change, suspend, or discontinue any part of the Site at any time, and we are not obliged to keep any information on it current.

7. Limitation of liability

To the fullest extent permitted by law, Quantino Health and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, or loss of data, arising out of or relating to your use of the Site or the text message program, even if we were advised of the possibility of those damages.

Our total liability for all claims relating to the Site or the text message program will not exceed one hundred US dollars ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply to you only to the extent the law permits.

Nothing in these Terms limits our obligations to a healthcare organization under a signed services agreement or a Business Associate Agreement, or any liability that cannot lawfully be limited.

8. Indemnification

You agree to indemnify and hold harmless Quantino Health and its officers, directors, employees, and agents from any claim, loss, liability, or expense, including reasonable legal fees, arising out of your breach of these Terms or your unlawful use of the Site.

9. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. You and Quantino Health agree to the exclusive jurisdiction of the state and federal courts located in Escambia County, Florida for any dispute arising out of these Terms or the Site, and each of us waives any objection to venue there.

Before filing anything, please contact us at hello@quantinohealth.com. Most disputes can be resolved that way.

10. Changes to these Terms

We may update these Terms. When we do, we will change the effective date at the top of this page, and we will provide additional notice if the change is material. Your continued use of the Site after an update means you accept the revised Terms.

11. Miscellaneous

If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site and the text message program.
